Well, yes and no. Unless the Company Statutes specifically provide that some decisions are reserved to the shareholders' assembly (i.e. Eurowings and/or Lufthansa now), the SN board legally has the power to take all (other) decisions. However, important decisions are usually prepared by the management and then submitted to the board for decision. I didn't went through all SN related files. In the financial report 2015 (2016 isn't published yet) it is mentioned as 0,01% being owned by a subsidiary (mentioned as "dochters").
